• Essaysondemand: Essays On Demand, is a website provides expert's services for creating a content online.

• Service(s): All services carried out by Essaysondemand for you where experts provide a "Service" (Services) within a specified timeframe, in accordance with the Customer's educational requirements. The Service covers all Order Statuses.

• Document(s): All documents provided to Essaysondemand by you, including, but not limited to, articles, papers, journals, documents, or reference lists.

• Order: An agreement between you and Essaysondemand in which Essaysondemand undertakes the provision of certain services. A Customer's request for a paid Product made electronically is considered an 'Order', which outlines the scope of work and other requirements for the Product.

• Plagiarism Check: A service provided by Essaysondemand utilizes the plagiarism software to check a Document for plagiarism.

• Clients: A User that purchases Writer Services or identifies a Writer through the Site.

• Writer: A User that offers and delivers services or identifies a Client through the Site.

• Project: The request submitted by a Client to Essaysondemand seeking writers to satisfy a Client’s aim to obtain content.

• Site: The website found at the domain essaysondemand.ca, essaysondemand.com

• Submission: Any or all type of work/product developed by Writer in carrying out Writer Services as required to complete the Job and delivered to Essaysondemand.

• Third-Party Services: all services that are accessible through the Site and delivered by third parties. The term Third-Party Services does not include Essaysondemand Services or Writer Services.

• User: (1) a person who is a User, using the Site on his or her own behalf, or (2) a person who is using the Site on behalf of a User.

• Quality Assurance Department: is a division of the Company that oversees the quality of our Products and Services. This department is responsible for reviewing and addressing any disputes, and maintains an impartial stance towards all parties involved.

• These terms and conditions apply to any tender, offer, Order, or other agreement between you and EssaysOnDemand.

• When it appears that one or more of the provisions of these terms and conditions is at any time wholly or partially invalid, the remaining provisions shall remain fully applicable.

• When the interpretation of one or more provisions of these terms and conditions is unclear, an explanation that is “in the spirit” of these provisions shall be applicable. This is also the case when a situation that is not detailed in these Terms of Use arises.

• If EssaysOnDemand is not in strict compliance with these Terms of Use, it does not mean that the provisions are invalid or that EssaysOnDemand loses its right to otherwise demand strict adherence to them.

• All content produced by Writers within the EssaysOnDemand platform is royalty-free. Royalty-free content is content which distribution, modification, and commercial rights are ceded by the original Writer to the Client at the moment of approval of the content by the Client.

• An offer contains a complete and accurate description of the Services being offered to you by EssaysOnDemand. The description will be detailed enough that you can properly assess it. Mistakes or obvious errors within the offer are not binding on EssaysOnDemand.

• The Order is concluded when you accept EssaysOnDemand’s offer.

• EssaysOnDemand will confirm receipt of your acceptance of the offer by electronic means.

• If during the execution of the Order it is revealed that it is necessary to alter or supplement the Order in order to implement it properly, EssaysOnDemand will consult you, and you and EssaysOnDemand will agree to any changes to the Order.

• EssaysOnDemand can refuse a request to modify or change an Order Instructions without being in default of the Order or omitting anything therefrom.

• EssaysOnDemand has the right to cancel an Order after it has been concluded.

• EssaysOnDemand has the right to cancel an Order if EssaysOnDemand considers that the Document uploaded by you does not meet minimum requirements.

• The minimum requirements for a Document are as follows:
1. The Document must be education related.
2. You must not appear to be committing fraud.
3. For the Writing, Proofreading & Editing service, the quality of the Document must be such that an Expert can check the Document in a standard manner. This assessment of quality is undertaken by EssaysOnDemand. When the basic quality of the Document is deemed to be too low, an Expert cannot edit the Document following the normal procedure.

• All content, including Documents, uploaded on EssaysOnDemand must comply with our Copyright Policy. Violations of this policy will result in EssaysOnDemand canceling an Order.

• When EssaysOnDemand cancels an Order, we will contact you as soon as possible.

By submitting content (including Documents) on EssaysOnDemand, you grant EssaysOnDemand a nonexclusive, worldwide, royalty free, fully paid up, transferable, sublicensable (through multiple tiers of sublicensees, including EssaysOnDemand affiliates), license to translate, modify, store, edit, display, perform, reproduce, distribute, and otherwise use your content in connection with the operation or use of EssaysOnDemand Services, in any and all media or distribution methods (now known or later developed). The rights granted to EssaysOnDemand under this section are perpetual (subject to Article 9, Retention of Documents) and irrevocable, to the maximum extent permitted by law.

For clarity, this license enables us to provide the Services and is not intended to otherwise limit your ownership rights in your content. Moreover, we only share your Documents with Experts and third party vendors to enable us to operate the Services and do not share them with other users.

The following are prohibited activities which could lead to the termination of a User account:

• Send or otherwise transmit to or through this Site any unlawful, infringing, harmful, harassing, defamatory, threatening, hateful or otherwise objectionable material of any kind, any material that can cause harm or delay to this Site or computers of any kind, and any unsolicited advertising, solicitation or promotional materials;

• Misrepresent your identity or affiliation in any way;

• Restrict, discourage, or inhibit any person from using this Site, disclose personal information on this Site or obtained from this Site, or collect information about users of this Site;

• Reverse engineer, disassemble or decompile any section or technology on this Site, or attempt to do any of the foregoing;

• Gain unauthorized access to this Site, other users’ accounts, names, or personally identifiable information, or other computers or Sites connected or linked to this Site;

• Launch or use any automated system, including without limitation, “robots,” “spiders,” or “offline readers,” that access this Site in a manner that sends more request messages to our servers in a given period of time than a human can reasonably produce in the same period by using a conventional web browser;

• Send or otherwise transmit to or through this Site chain letters, unsolicited messages, so-called “spamming” or “phishing” messages, or messages marketing or advertising goods and services;

• Violate any applicable laws or regulations or these Terms;

• Assist or permit any persons in engaging in any of the activities described above;

• You represent and warrant that any Content You contribute shall not be defamatory, nor shall it violate anyone’s right of privacy or publicity, not shall it infringe any copyright, trademark, patent, or other personal or proprietary right of any person or entity; or

• You will obtain releases, consents, and permissions for use of all materials, trademarks, content, and persons depicted or included in any Content you contribute.

1. EssaysOnDemand is Not a Party to Any Projects

   EssaysOnDemand is not a party to any component or portion of a Project between a Client and a Writer, including the Writer Services. EssaysOnDemand has no control over and does not guarantee the quality of Writer Services advertised, the truth or accuracy of Project listings, the qualifications, background of Writers/Clients or the fulfillment of a transaction.

   EssaysOnDemand does not perform background checks on Writers. Any information is provided simply for the convenience of Clients.

   All rights and obligations for the purchase and sale of Writer Services are solely between Client and Writer. Client and Writer must look solely to the other for enforcement and performance of all the rights and obligations arising from Services Agreements and any other terms, conditions, representations, or warranties associated with such dealings.

2. Third-Party Beneficiary of Services Agreement

   Client and Writer each acknowledges and agrees that the value, reputation, and goodwill of the Site depend on their performance of their covenants and agreements as set forth in their Services Agreement. Client and Writer therefore appoint EssaysOnDemand a third-party beneficiary of their Services Agreement for purposes of enforcing the obligations owed to, and the benefits conferred on, EssaysOnDemand by this Agreement. Client and Writer further agree that EssaysOnDemand has the right to take such actions with respect to the Services Agreement or their Accounts, including without limitation suspension, termination, or legal actions, as EssaysOnDemand in its sole discretion deems necessary to protect the value, reputation, and goodwill of the Site.

3. Fees Charged to Clients and Writers

   Upon Submission and subsequent approval from a Client to accept the Project and transfer funds, EssaysOnDemand deducts a “Payment Processing Fee” for creating, hosting, maintaining, and providing the Site.

4. Agreed Exclusivity Period with the Site

   Clients: By using the Site and posting a Project, you agree to use EssaysOnDemand to make all payments to Writers you identify through the Site. You acknowledge that EssaysOnDemand earns its fees through transactions that take place on the Site. You agree not to take any action directly or indirectly to circumvent these fees. If a Writer solicits payment from you outside the Site, you agree to notify EssaysOnDemand immediately.

   Writers: By using the Site and responding to a Project, you agree to use EssaysOnDemand to receive all payments from Clients who identify you or whom you identify on the Site. You acknowledge that EssaysOnDemand earns its fees through transactions that take place on the Site. You agree not to take any action directly or indirectly to circumvent these fees.

   As a Writer, you also agree to notify EssaysOnDemand immediately if a Client seeks to pay you outside the Site.

   Opt-Out: Notwithstanding the foregoing, if the Client pays the Opt-Out Fee of $10,000 USD per Writer and EssaysOnDemand notifies both Client and Writer that the Opt-Out option has been exercised for that Writer, then the Client has the right to pay that Writer outside the Site.

• Clients: The prices posted for the amount and type of Writer Services a Client can purchase, including bundled packages, are displayed on the Site and subject to change at EssaysOnDemand’s discretion. Any change in these prices shall apply on a going-forward basis.

• Your use of EssaysOnDemand constitutes your agreement to pay for any amounts that you authorize EssaysOnDemand to charge against your Account and, as appropriate, your credit card, bank account, or PayPal. Such payments, once authorized, are final.

• Money Back Guarantee: EssaysOnDemand will, upon the Client’s request by email to support@essaysondemand.ca and subject to Fair Use Policy and restrictions described below, provide a credit or a full refund of the Payment made by the Client for the Writer Services. The Money Back Guarantee is only applicable until the Project is approved by the Client or automatically approved by the EssaysOnDemand platform. In addition, only payments that are made no longer than 6 months prior to the refund request date are eligible for refunds, including refunds for Prepaid Bundle purchases.

• If Client Account has a balance, but has had no activity for at least one (1) year, the Account will be placed on “Inactive” status. EssaysOnDemand will notify Client that the Account is Inactive by sending an email every thirty (30) days to Client’s registered email address and give Client the option of keeping the Account active and maintaining the balance. If, after ninety (90) days of the first notice, Client account has no activity, EssaysOnDemand will automatically deduct the entire balance of Client’s Account.

• Writers: EssaysOnDemand reserves the right to seek reimbursement from you, and you will reimburse EssaysOnDemand, if EssaysOnDemand discovers erroneous or duplicate transactions, or EssaysOnDemand receives a charge back from any Client’s credit card company, bank, or PayPal for any reason. You agree that EssaysOnDemand has the right to obtain such reimbursement by charging your Account, deducting amounts from future payments or withdrawals, charging your credit card, or obtaining reimbursement from you by any other lawful means.

• EssaysOnDemand reserves the right, at its sole discretion, to place a hold on funds for Client payments to clear, or if EssaysOnDemand suspects monies may be subject to dispute or charge back or if fraud is suspected. EssaysOnDemand will release a hold as soon as practical.

EssaysOnDemand is intended solely for a legal entity or an individual eighteen (18) years of age or older, and any registration by, use of, or access to the Site by anyone under the age of 18 is unauthorized, unlicensed, and in violation of these Terms. By using the Site, You represent and warrant that You are 18 or older, and further, that You agree to abide by all of the terms and conditions of this Agreement. EssaysOnDemand may terminate Your Account, Project, and any content or information that You have posted on the Site and/or prohibit You from using or accessing the Site for any reason, at any time in its sole discretion, with or without notice, including without limitation if it believes that You are under 18.

To register for an Account with EssaysOnDemand, you must accept all of the terms and conditions in, and linked to, this Agreement. When you do so, you agree to: (a) abide by this Agreement and the processes, procedures, and guidelines described throughout the Site; (b) be financially responsible for your use of the Site and the purchase or delivery of Writer Services; and (c) perform your obligations as specified by any Services Agreement that you accept, unless such obligations are prohibited by law or by this Agreement. EssaysOnDemand reserves the right in its sole discretion to refuse, suspend, or terminate service to anyone for any reason or no reason.

• To become a User and access Site Services through our Site you must register for an “Account.” You agree to provide true, accurate and complete information as prompted by the registration form and all forms you access on the Site, and to update this information to maintain its truthfulness, accuracy and completeness. You cannot register for more than one Account without express written permission from EssaysOnDemand.

• Each User represents, warrants, and agrees to grant access to the Account only to Users authorized to act on behalf of the Users and only in accordance with this Agreement. Additionally, User represents, warrants, and agrees to be fully responsible and liable for any action of any User who uses the Account.

• Your EssaysOnDemand Account is not transferable, and any transfer or attempted transfer to another party is null and void.

• Usernames and Passwords: When a User registers an Account, the User will be asked to choose a Username and password for the Account. As a User, you agree and you are entirely responsible to safeguard and maintain the confidentiality of the Username and password you use to access this Site. EssaysOnDemand will assume that any person using the Site with your Username and password is authorized to act for you.

As you view this Site, you may notice links to third-party websites. These links are for convenience only. If you use these links, you will leave this Site. Certain of these linked websites may make use of EssaysOnDemand proprietary intellectual property rights (such as copyrights, trademarks, service marks, logos and trade names) under license from EssaysOnDemand. EssaysOnDemand is not responsible for the availability or content of these other websites or for any viruses or other damaging elements encountered in linking to a third-party website. In addition, providing links to these websites should not be interpreted as endorsement or approval by EssaysOnDemand of the organizations sponsoring such third-party websites or their products or services. These Terms do not apply to any other websites.

To the extent permitted under applicable law, under no circumstances, including, but not limited to, negligence, shall EssaysOnDemand be liable for any compensatory, punitive, special or consequential damages that result from 1) the use of this site or the materials on it, 2) the inability to use this site or the materials on it, 3) the misappropriation of materials, or 4) the loss of, or damage to, materials for any reason, even if EssaysOnDemand or a EssaysOnDemand authorized representative has been advised of the possibility of such damages. Applicable law may not allow the limitation or exclusion of liability or incidental or consequential damages, so the above exclusion may not apply to you.

1. Indemnification

   You agree to indemnify and hold harmless EssaysOnDemand, its shareholders, business partners, directors, officers, employees, agents, Users, or third party sponsors, subsidiaries, affiliates, successors, and assignees, at Your sole cost and expense, from all liabilities, claims, and expenses, including attorney’s fees, that arise from Your use of the Site and from any Content you contribute to the Site. EssaysOnDemand reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by You, in which event You will cooperate with EssaysOnDemand in asserting any available defense. You shall not settle any indemnified claim without EssaysOnDemand’s prior written consent.

2. Unsolicited Ideas

   EssaysOnDemand does not accept or consider unsolicited ideas, including ideas for new promotions, products, technologies, or processes. You must not transmit any Content to or through this Site or to us through email that you consider to be confidential or proprietary, other than scripts or articles that have been assigned a privacy level. Any other Content that you transmit to or through this Site or to us through email will be considered non-confidential and non-proprietary. This policy serves to avoid potential misunderstandings or disputes regarding ownership of ideas. Except as expressly provided in EssaysOnDemand’s privacy policy, you give EssaysOnDemand an unrestricted, irrevocable, worldwide, royalty-free license to use, reproduce, display, publicly perform, transmit and distribute Content that are not Confidential Materials. Except for Confidential Materials, you further agree that EssaysOnDemand has the right to use, without any payment or accounting to you or others, any concepts, know-how or ideas that you (and those who act on your behalf) transmit to or through this Site or to us through email.

3. Trademarks

   All trademarks, service marks, logos and trade names on this Site, whether registered or unregistered, including but not limited to EssaysOnDemand.co is proprietary to EssaysOnDemand or to other companies where so indicated. You may not reproduce, download or otherwise use any such trademarks, service marks, logos or trade names without the prior written consent of the appropriate owner thereof.

4. Jurisdictional Issues

   This Site is controlled and operated by EssaysOnDemand, Inc. EssaysOnDemand makes no representation that materials in the Site are appropriate or available for use in other locations. Those who choose to access this Site from other locations do so on their own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable. Access to this Site from jurisdictions where the contents of this Site are illegal or penalized is prohibited.

5. Entire Agreement; No Waiver; Severability

   These Terms constitute the entire agreement between You and EssaysOnDemand regarding the use of the Site, superseding any prior agreements between You and EssaysOnDemand relating to your use of the Site. The failure of EssaysOnDemand to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision in that or any other instance. If any provision of these Terms is held invalid, the remainder of these Terms shall continue in full force and effect. If any provision of these Terms shall be deemed unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

6. Claims of Copyright Infringement

   EssaysOnDemand respects the intellectual property of others. If You believe that Your copyrighted work has been copied and is accessible on the Site in a way that constitutes copyright infringement, pursuant to Title 17, United States Code, Section 512(c)(2), You are encouraged, as a first step, to contact the involved party in an attempt to resolve the issue directly. You may in addition or as a next step send a notification of claimed copyright infringement to EssaysOnDemand’s designated agent along with the following information:

   • The electronic or physical signature of the owner of the copyright or the person authorized to act on the owner’s behalf;
   • A description of the copyright work that You claim has been infringed and a description of the infringing activity;
   • Identification of the location where the original or an authorized copy of the copyrighted work exists, for example the URL of the Site where it is posted or the name of the book in which it has been published;
   • Identification of the URL or other specific location on the Site where the material that You claim is infringing is located, including enough information to allow EssaysOnDemand to locate the material;
   • Your number, address, telephone number, and email address;
   • A statement by You that You have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
   • A statement by You, made under penalty of perjury, that the above information in Your Notice is accurate and that You are the copyright owner or are authorized to act on the copyright owner’s behalf.

   We caution you that if you knowingly misrepresent that material is or is not infringing, you may be subject to heavy civil penalties. These include monetary damages, court costs, and attorneys fees incurred by us, by any copyright owner, or by any copyright owner’s licensee that is injured as a result of our relying upon your misrepresentation. You may also be subject to criminal prosecution for perjury.

   We have a policy of terminating accounts of repeat infringers. A repeat infringer includes any user who has submitted or posted two or more pieces of Content for which we receive a notice of infringement. You agree that if your account is terminated pursuant to these Terms, you will not attempt to establish a new account under any name, real or assumed, and further agree that if you violate this restriction by opening a new account after being terminated you indemnify and hold us harmless from any and all liability that we may incur therefore.

7. Governing Law; Venue

   These Terms and the validity, construction, and performance thereof will be governed in all respects by the laws of the State of Delaware, United States of America, without regard to its choice of law provisions. You irrevocably agree that any action proceeding arising from or relating to this agreement may be brought only in the courts of Delaware, consent, for Yourself and in respect of Your property, to the jurisdiction of each such court in any such action or proceeding, and waive any objection to proceeding in such venue, including that the forum is inconvenient.

These Terms are subject to periodic review by the Company, and we reserve the right to modify or update them at our sole discretion. We will notify you of major revisions via email or by posting the changes on our Website. The latest version of these Terms will always be available on our Website.

We will generally provide you with advance notice before the updated terms take effect. However, there may be situations where immediate changes are necessary, and in such cases, we may not be able to give you prior notice.
